Please read these Terms of Use carefully before using this website. By accessing or using babyking.com (the “Site”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree, please do not use the Site.
These Terms are a legal agreement between you and Regent Baby Products Corp. (“Baby King,” “we,” “us,” or “our”).
1. Purpose of This Site and Business-to-Business Notice
Baby King is a business-to-business wholesale distributor and manufacturer of baby products, infants’ apparel, toys, and nursery essentials. We sell exclusively to verified businesses and enforce a minimum order requirement of $1,000. We do not sell to individual retail consumers.
This Site is an informational catalog and inquiry site. You cannot place orders, make payments, or create a user account through the Site. All ordering is conducted offline through our sales representatives, showrooms, and trade show staff. Any information on the Site regarding products, availability, or pricing is provided for reference only and does not constitute an offer to sell.
2. Eligibility
The Site is intended for use by commercial retail buyers, business owners, and authorized purchasing agents who are at least 18 years of age. By using the Site, you represent that you meet these requirements and that you are accessing the Site for legitimate business purposes.
If you submit an inquiry on behalf of a company, you represent that you are authorized to do so and to bind that company to these Terms.
3. No Offer, Pricing, and Order Acceptance
Product listings, descriptions, catalog materials, and any pricing shown on or downloaded from the Site are informational and subject to change without notice. They do not constitute a binding offer.
All orders are subject to our acceptance, credit approval, business verification, and product availability. No order is binding on us until we accept it in writing and issue an order confirmation or invoice. Pricing, minimum order quantities, payment terms, freight terms, and product availability are established at the time of order acceptance and may differ from information appearing on the Site.
Any purchase you make is governed by our applicable terms and conditions of sale, credit application, and order documentation. In the event of a conflict between these Terms and those documents with respect to a specific transaction, the transaction documents control.
4. Product Information, Safety, and Compliance
We work to keep product information accurate, but the Site may contain typographical errors, inaccuracies, or omissions relating to product descriptions, specifications, images, dimensions, materials, age grading, packaging, or availability. Product packaging and specifications may differ from what is shown. We reserve the right to correct errors and to change or discontinue products at any time without notice.
Product safety obligations. Our products are manufactured and tested to applicable safety standards, including those established by the Consumer Product Safety Commission (CPSC) and ASTM International. If you purchase our products for resale, you are responsible for:
- Complying with all applicable federal, state, and local laws governing the sale of juvenile products, toys, and children’s apparel
- Preserving and passing through all product labeling, age grading, warnings, tracking labels, and instructional materials
- Not altering, repackaging, or relabeling products in any way that removes or obscures required safety information
- Cooperating with any recall, corrective action, or safety notice we issue, including ceasing sale of affected products and providing distribution records as needed
Recall and safety notices, when issued, will be posted on the Site or communicated directly to affected customers. You should also consult cpsc.gov for official recall information.
5. Intellectual Property
All content on the Site, including text, product photography, catalog materials, graphics, logos, illustrations, page layouts, and software, is the property of Regent Baby Products Corp. or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws.
“Baby King,” “Pet King,” “Regent Baby Products,” and our associated logos and product names are trademarks or registered trademarks of Regent Baby Products Corp. Third-party marks appearing on the Site are the property of their respective owners.
Limited license for authorized customers. If you are an approved wholesale customer, we grant you a limited, non-exclusive, revocable license to use our product images, descriptions, and marketing materials solely to advertise and resell products you have purchased from us, provided that you do not alter our trademarks or misrepresent the products. This license terminates automatically if your business relationship with us ends, and we may revoke it at any time.
6. Permitted Use and Restrictions
You may browse the Site and download catalog materials for legitimate business evaluation and purchasing purposes.
You may not:
- Use the Site for any unlawful purpose or in violation of these Terms
- Copy, reproduce, republish, or redistribute Site content except as permitted in Section 5
- Use automated systems, including scrapers, bots, or data-mining tools, to extract product data, pricing, or images from the Site
- Attempt to gain unauthorized access to the Site, its servers, or any connected systems
- Introduce viruses, malware, or any other harmful code
- Interfere with or disrupt the operation of the Site or impose an unreasonable load on our infrastructure
- Frame, mirror, or present Site content in a way that misrepresents its source
- Use our trademarks, product images, or content in a manner suggesting an endorsement, partnership, or affiliation that does not exist
- Submit false, misleading, or fraudulent business information in a catalog request or inquiry
We may restrict or block access to the Site at our discretion, including for suspected violation of these Terms.
7. Submissions and Inquiries
When you submit a catalog request, contact form, or sales inquiry, you agree that the information you provide is accurate and complete, and you consent to our contacting you regarding your inquiry.
Any comments, suggestions, ideas, or feedback you send us about our products, catalogs, or the Site are provided on a non-confidential basis. We may use, reproduce, and act on such feedback for any business purpose without obligation, compensation, or attribution to you. Please do not send us confidential or proprietary information you do not wish us to use.
Our handling of information you submit is described in our Privacy Policy, which is incorporated into these Terms by reference.
8. Third-Party Links
The Site may contain links to third-party websites, including our sister platform Pet King, retail partners, marketplaces such as Amazon, and social media networks. These links are provided for convenience only. We do not control and are not responsible for the content, products, or practices of third-party sites, and a link does not imply endorsement. Your use of any third-party site is at your own risk and subject to that site’s terms and privacy policy.
9. Disclaimer of Warranties
The Site and all content on it are provided “as is” and “as available,” without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, with respect to the Site and its content.
We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components. We do not warrant the accuracy, completeness, or currency of any information on the Site.
This section applies to the Site only. Warranties applicable to products you purchase from us are set out in our terms and conditions of sale and applicable product documentation, and are not affected by this section.
10. Limitation of Liability
To the fullest extent permitted by law, Regent Baby Products Corp., its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost business, lost data, or business interruption, arising out of or relating to your use of or inability to use the Site, even if we have been advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to your use of the Site will not exceed one hundred dollars ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, fraud, or product liability claims governed by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Regent Baby Products Corp. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your violation of these Terms, your violation of any law or third-party right, or your unauthorized use of our content or trademarks.
12. Governing Law and Venue
These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of New York, without regard to its conflict-of-laws principles.
You agree that any action or proceeding arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Suffolk County, New York, and you consent to the personal jurisdiction of those courts and waive any objection to venue in that forum.
13. Changes to the Site and to These Terms
We may modify, suspend, or discontinue any part of the Site at any time without notice.
We may revise these Terms at any time by posting the updated version on this page and revising the “Last Updated” date. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
14. General Provisions
Severability. If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to do so later.
Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the Site, and supersede any prior understandings on that subject. They do not supersede our terms and conditions of sale or other transaction documents governing purchases.
Assignment. You may not assign or transfer your rights under these Terms. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Survival. Sections 5, 7, 9, 10, 11, 12, and 14 survive any termination of your use of the Site.
